About the Role
As Legal Counsel (m/f/d) with a focus on Corporate and M&A, you support our Legal Department on all legal matters with a focus on corporate law topics, transactions, and complex contract structures.
You work closely with Management and act as the interface between Legal, Finance, and Corporate Development. In this role, you play a key part in identifying legal risks in growth-relevant topics early and creating efficient, scalable structures for an internationally operating company. You also help the company minimize contractual risks and ensure regulatory compliance. Through your work, you support Quantum Systems in its mission to become the benchmark for aerial data acquisition solutions with unmanned aerial systems (sUAV).
What is your Day to Day Mission
•Support with corporate law topics (incorporations, restructurings, board resolutions, governance topics)
•Legal support of M&A transactions, joint ventures, and strategic investments (including structuring, due diligence, contract documentation, and closing)
•Drafting, reviewing, and negotiating complex German and English contracts (in particular transaction documents, articles of association, shareholder agreements, cooperation agreements)
•Legal advice to internal stakeholders (in particular Finance, Business Development, Sales, Procurement) on commercial law issues
•Further development and standardization of corporate governance structures, templates, and legal processes
What you bring to the team
•Fully qualified lawyer (Volljurist:in) or successfully completed degree in business law (LL.B./LL.M.) or comparable qualification
•Relevant professional experience in Corporate / M&A / corporate law at a law firm or an international company
•Experience supporting transactions, financing rounds, or complex corporate projects is an advantage
•Solid knowledge of German corporate and contract law
•Strong understanding of business contexts and entrepreneurial thinking
•Ability to structure complex matters clearly, pragmatically, and in a solution-oriented way
•Independent, structured way of working as well as strong communication and coordination skills
•Negotiation-level German and English skills, written and spoken
